On behalf of our client, an alternative investment service provider, we are looking for a “Legal Officer (m/f/d)” for their office in Luxembourg.
Your responsibilities:
- Responsible for development of junior team members in the team through training and coaching
- Acting as first point of contact for the clients in relation to corporate/ legal matters for alternative investment funds and SPVs
- Bank account openings, on-boarding of clients and incorporation of funds and SPVs
- Preparing and reviewing of service level agreements, appointment/ resignations of directors and other corporate matters
- Interpreting constitutional documents of a client structure and liaise with other service providers
- Responsible for fund closings, including the holding of board meetings, collation of subscription agreements and KYC and communication with investors to confirm the closing has taken place
- Reviewing of legal documents in relation to acquisitions, disposals, restructuring transactions, liaising with client and third parties as necessary
- Provide client leadership by identifying situations requiring decisions for board and shareholders meetings
- Internal an external ccoperation
- Responsible for maintenance of accurate investor and company records, process all investor changes/transfers thereon and ensure any regulatory and statutory filings are completed in a timely manner
- Process and coordinate daily fund operations, including capital calls and distributions
Your profile:
- University degree in finance, law or business administration
- At least 1 year of experience in a related field or business area, preferably from a service provider or law firm in Luxembourg
- Good knowledge of KYC and AML in Luxembourg
- Fluency in English, French/German will be considered a plus
